MEMBERSHIP AGREEMENT

1. Parties
2. a) Carrying out the activities of the website www.glostudio.co, Merkez Mah. Hasat Sk. Kamara No.52 Interior Door 1 Şişli / Istanbul Glo Studio Tekstil Ticaret ve Sanayi Anonim Şirketi (Trade Registry No: 1003208) (hereinafter referred to as "Glo Studio"); and
3. b) Internet user who is a member of the website www.glostudio.co ("Member").
4. Subject of the Contract
   • The subject of this Agreement is the general terms of use of the www. glostudio.co website owned by Glo Studio, the rules, the terms of use of the member and the determination of legal responsibilities.
   • Each natural and/or legal person who accesses the Site in any way or benefits from the services offered on the Site accepts, declares and undertakes that he / she has read this agreement (hereinafter referred to as the "Agreement") containing the terms of use and membership, understands its content in its entirety and approves all its provisions.
   • The services offered on this Site are provided by Glo Studio and Glo Studio is the legal owner of the Site and Glo Studio is exclusively authorised to use and dispose of the Site.
5. Definitions

Service(s): The applications put forward by Glo Studio in order to realise the business and transactions of the members defined in this contract.

Website: The Website (''Site''), which can be accessed with the domain name www.glostudio.co, where Glo Studio provides the services specified in the scope of this agreement

Member / Member: Natural or legal persons who are members of the Website and benefit from the content, applications and services on the Website

Link: It is a link that enables content access to another website or computer application through the Site.

4. Rights and Obligations of the Parties
   • The site is open to all members. The services provided on the site are free of charge unless otherwise stated.
   • The Member declares and undertakes that the personal and other information he/she provides while becoming a member of the website www.glostudio.co is correct before the law and that Glo Studio will fully and immediately compensate all damages that Glo Studio may incur due to the untruthfulness of this information. The Member accepts and undertakes that all activities carried out through the Site can be benefited by persons who have the power of appeal in accordance with the law and who are legally considered to be of legal age (especially the condition of being over 18 years of age), and that minors (especially those under the age of 18) can only make transactions through their legal representatives; otherwise Glo Studio will not have any responsibility.
   • 3. The Member may not give the password given to him/her by Glo Studio to other persons or organisations, and the right to use the password belongs to the Member himself/herself. Against all liability that may arise for this reason and all claims and demands that may be asserted against Glo Studio by third parties or competent authorities, Glo Studio reserves the right to all kinds of compensation and other claims arising from such unauthorised use.
   • The Member accepts and undertakes from the beginning to comply with the provisions of the legal legislation and not to violate them while using the website www.glostudio.co. Otherwise, all legal and penal liabilities that may arise shall be fully and exclusively binding on the Member.
   • The member may not use the www.glostudio.co website in any way that disrupts public order, violates public morality, disturbs and harasses others, for any illegal purpose, or in a way that infringes the intellectual and copyright rights of others.
   • In addition, the Member may not engage in activities (spam, virus, trojan horse, etc.) and transactions that prevent or make it difficult for others to use the services.
   • The opinions and thoughts declared, written, used by the members about the www.glostudio.co website and / or are the personal opinions of the members and bind the opinion holder. These opinions and thoughts have no relation and connection with Glo Studio. Glo Studio has no liability for any damages that may be incurred by third parties due to the ideas and opinions to be declared by the member and for any damages that may be incurred by the Member due to the ideas and opinions to be declared by third parties.
   • Glo Studio shall not be liable for any unauthorised reading of member data and any damage to member software and data. The member agrees in advance not to claim compensation from Glo Studio for any damages that may be incurred due to the use of the website www.glostudio.co.
   • The Member agrees not to access or use the software and data of other internet users without authorisation. Otherwise, the legal and criminal liabilities arising therefrom shall be borne entirely by the Member.
   • The member who violates one or more of the articles listed in this membership agreement shall be criminally and legally responsible for this violation and shall keep Glo Studio free from the legal and criminal consequences of these violations. In addition; due to this violation, Glo Studio reserves the right to claim compensation against the member for non-compliance with the membership agreement if the incident is transferred to the legal field.
   • Glo Studio always has the right to unilaterally delete the membership of the member, delete the files, documents and information belonging to the customer. The member accepts this saving in advance. In this case, Glo Studio has no responsibility. The decision whether to delete any record of the user account terminated by Glo Studio or the member belongs to Glo Studio. The user cannot claim any rights or compensation for deleted records.
   • Membership cancellation and account deletion can be done by the user via the website www.glostudio.co. The user who terminates his/her membership will be cancelled from accessing his/her account on the site.
   • Members are responsible for their own relations with each other and/or third parties.
   • Different rules or obligations specific to that section may be specified in certain parts of the site. Persons and organisations using these sections are deemed to have accepted these rules in advance.
   • The software and design of the website www.glostudio.co and all visual contents, including all kinds of trademarks on the website, are the property of Glo Studio and the copyright and/or other intellectual property rights related to them are protected by the relevant laws and cannot be used, acquired or changed by the Member without authorisation.
   • Certain information such as the name and Internet Protocol (IP) address of the Internet service provider used by Glo Studio to access the website www.glostudio.co for the improvement and development of the website www.glostudio.co and/or within the framework of legal legislation, the date and time of access to the Site, the pages accessed while on the site and the Internet address of the Website that provides direct connection to the site may be collected in accordance with the Law No. 6698 on the Protection of Personal Data.
   • Glo Studio may disclose a member's personal information when required to do so by law or in the good faith belief that such disclosure is necessary to (a) comply with legal requirements or legal process served on Glo Studio; (b) protect and defend the rights and property of Glo Studio and the Glo Studio Website family.
   • Measures have been taken to the best of our ability to ensure that the Glo Studio Website is free of viruses and similar malware. In addition, in order to ensure ultimate security, the Member is required to supply its own virus protection system and provide the necessary protection. In this context, by accessing the Glo Studio Website, the Member accepts that he/she is responsible for all errors that may occur in his/her software and operating systems and their direct or indirect consequences.
   • Glo Studio reserves the right to change the content of the Website at any time, to change or terminate any service provided to Members or to delete registered user information and data when the membership agreement on the Glo Studio Website is terminated or terminated.
   • Member information is monitored by Glo Studio in order to provide better service. This information may be shared with the companies that Glo Studio cooperates with in terms of advertising, marketing, credit card and membership applications, etc. in order to expand and improve the content in accordance with the Law No. 6698 on the Protection of Personal Data. The aim is to improve the experience offered by the site to its users and the www.glostudio.co website.
   • A member cannot have more than one account. In the event that the contrary situation is detected, it is at the sole discretion of Glo Studio to close/freeze the accounts detected to be fraudulent without notifying the Member. These gains of the Member who tries to earn from the system with more than one account are not protected and if the violation occurs more than once, Glo Studio reserves the right to take other remedies, including removal from membership, since the relevant violation will be one of the fundamental violations of the Member agreement.
   • Glo Studio may change, update or cancel the terms of the membership agreement at any time without the need for prior notice and/or warning in any form or manner. Any amended, updated or cancelled provision shall be effective for all members on the date of publication.
   • The parties acknowledge and agree that all computer records belonging to Glo Studio shall be relied upon as the sole and true exclusive evidence in accordance with Article 193 of the CCP and that such records constitute an evidential contract.
   • In case of any change, Glo Studio will publish the updated terms of use on its website under the same link with a new date update and will notify its users by e-mail if deemed necessary. The revised current terms of use will be valid from the moment they are published on www.glostudio.co and the use of the www.glostudio.co site or services will be subject to the revised terms of use from that moment on.
   • The Member agrees that he/she shall be deemed to have accepted all the provisions of this membership agreement from the moment he/she starts to use the service and that the agreement shall be valid for him/her. The Member agrees to indemnify Glo Studio in full for any damages incurred by Glo Studio due to its behaviour contrary to the obligations it has undertaken with this contract. Glo Studio shall have full recourse to the member for any compensation and/or administrative and/or judicial fines that the member may have to pay to public institutions and/or third parties due to the member's behaviour contrary to the contract.
   • The Member may write his/her wishes, suggestions and complaints about Glo Studio through the Site. The declaring Member is solely and individually responsible for any damages that Glo Studio or third parties may suffer due to the ideas and opinions to be declared by any Member through the Site. Glo Studio cannot be held responsible for information, messages and files that will be lost and/or incomplete during the use of the Services or that will be sent to the wrong address. The Member accepts that he/she is solely and individually liable for all damages incurred by Glo Studio as a result of the occurrence of such situations.
   • Glo Studio may temporarily suspend or completely stop the operation of the system at any time. Glo Studio shall have no liability to Members or third parties for any temporary suspension or complete cessation of the system.
   • The Website may provide links to other websites and/or other contents that are not under the control of Glo Studio and/or owned and/or operated by other third parties. These links are provided for the convenience of the Member and do not endorse any website or the person operating that website and do not constitute any guarantee for the information contained in the linked website.
5. Termination of Contract

This agreement will remain in force until the Member cancels his/her membership or his/her membership is cancelled by Glo Studio. Glo Studio may unilaterally terminate the agreement by cancelling the Member's membership if the Member violates any provision of the membership agreement.

6. Dispute Resolution

 Istanbul Central (Çağlayan) Courts and Execution Offices are authorised for disputes regarding this agreement.

7. Notification Addresses
   • The electronic mail address notified by the Member to Glo Studio shall be deemed to be the electronic mail from which the legal address will be requested for any notification to be made in relation to this agreement.
   • Unless the parties notify the other party in writing of changes in their existing e-mails within 3 (three) days, they agree that requests to the old e-mails shall be valid and deemed to be made to them.
   • Any notification to be made by Glo Studio using the registered e-mail address provided by the Member shall be deemed to have reached the user 1 (one) day after the e-mail is sent by Glo Studio.
8. Force Majeure

The term "Force Majeure" shall be construed as any unavoidable event beyond the reasonable control of the relevant party and which it could not have prevented despite exercising due diligence, including but not limited to natural disasters, riots, war, strikes, communication problems, infrastructure and internet failures, power outages and bad weather conditions. In all cases of Force Majeure, Glo Studio shall not be liable for late or incomplete performance or non-performance of any of its obligations under the Contract. Such circumstances shall not be deemed as delay, incomplete performance or non-performance or default for Glo Studio and the Member shall not be entitled to claim any compensation from Glo Studio under any name whatsoever for such circumstances.

9. Enforcement

The Member's membership registration means that the Member has read all the articles in the membership agreement and accepts the articles in the membership agreement. This Agreement has been concluded at the time the Member becomes a member and has entered into force mutually.
